These Terms of Service (“Terms”) govern your use of the website operated by The Optimization Firm, LLC (“TOF”), including minlp.com (the “Site”), and any products or services available through the Site.
By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
About our services
TOF develops and provides optimization software and related products and services. Through the Site, you may obtain information about TOF and its products, request price quotations, create an account, download software, and purchase products or services.
We may add, modify, suspend, or discontinue portions of the Site or our services from time to time. We may also update these Terms. Your continued use of the Site after updated Terms become effective constitutes your acceptance of those Terms.

Purchases and licenses

You agree to pay all applicable charges associated with products or services you purchase.

TOF DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
TOF DOES NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ALL DEFECTS WILL BE CORRECTED.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOF AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR SERVICES.
This limitation applies regardless of the legal theory asserted and even if TOF has been advised of the possibility of such damages.
Some jurisdictions do not allow certain warranty exclusions or limitations of liability, so some of these limitations may not apply to you.
Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless TOF and its officers, employees, agents, affiliates, and licensors from claims, liabilities, damages, losses, and reasonable legal fees arising from:
- Your violation of these Terms
- Your misuse of the Site or services
- Your violation of another person’s rights
Termination
You may request cancellation of your account by contacting info@minlp.com.
We may suspend or terminate your access to the Site or services if you violate these Terms, fail to pay amounts owed, misuse our services, or engage in unlawful or fraudulent activity.
Termination may result in loss of access to your account and associated services.
Copyright complaints
If you believe material on the Site infringes your copyright or other intellectual-property rights, contact us at info@minlp.com and provide enough information for us to identify the allegedly infringing material and evaluate your claim.
Changes to these Terms
We may update these Terms from time to time by posting a revised version on the Site.
The revised Terms will apply from the date stated at the top of the page. Your continued use of the Site after that date constitutes acceptance of the updated Terms.
Governing law
These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles.
Any dispute arising from these Terms or your use of the Site will be brought in the state courts located in Champaign County, Illinois, or the United States District Court for the Central District of Illinois, Springfield Division, and you consent to the jurisdiction of those courts.
Severability and waiver
If a court finds any provision of these Terms unenforceable, the remaining provisions will remain in effect.
If TOF does not enforce a provision of these Terms on one occasion, that does not waive our right to enforce it later.
Entire agreement
These Terms, together with any applicable product license agreement, purchase terms, and Privacy Policy, constitute the agreement between you and TOF concerning your use of the Site and services.
If product-specific terms conflict with these Terms, the product-specific terms control with respect to that product.
